The Committee Question

Sooner or later, every board asks the same thing: who checked the machine? Intelligent governance is the answer you prepare before the question arrives.

It rarely arrives as an ambush. A risk committee member, reading the deck a day early, sends a short note: 'This AI-assisted analysis — who verified it?' The room goes quiet in a particular way. Everyone present knows the honest answer, and the honest answer is a process description, not a name.

That question — the committee question — is becoming the standard of care. Not because regulators demanded it, but because fiduciaries asked it. Boards have learned that 'we used AI' is not an explanation; it is an admission that explanation is needed.

Intelligent governance is not slowing the machine down. It is being able to prove, on demand, that the machine was opposed.

Governance that lives in the workflow

The instinct is to govern AI with policy: a PDF, a sign-off page, a quarterly attestation. Policy governs intention. It does not govern output. The firm that can answer the committee question well does something different — it runs every consequential conclusion through independent opposition before reliance, and it keeps the record of that opposition as carefully as the conclusion itself.

This is what we mean by intelligent governance: every case, every transaction, every decision that matters passes through an adversary that logs what it attacked, what survived, and what was sent back. When the committee asks, the answer is not a reassurance. It is a docket.

The answer compounds

There is a strategic dividend beyond the committee room. Clients increasingly ask the question too — in RFPs, in outside counsel guidelines, in diligence. The firm with a real answer converts governance from cost center to credential. The firm without one is betting that no one asks. Boards are not known for not asking.

Prepare the answer before the question. That is the entire discipline.
